Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Cleolead Corp. ("Eatrace", "we", "us") governing your use of the Eatrace mobile and web app. By creating an account or using Eatrace, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the app.

1. Eligibility & your account
You must be at least 18 years old, or the age of majority where you live, to enter into these Terms; minors may use Eatrace only with the involvement and consent of a parent or guardian. You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate information and keep it up to date. You may sign in with email, Apple, or Google.
2. What Eatrace does
Eatrace helps you find restaurant dishes and foods nearby that fit your calorie and macro goals, scored with a single Fit Score, and lets you log meals and track progress. Nutrition values, menus, and macro estimates come from third-party data providers and AI estimation and may be incomplete or inaccurate. Eatrace is a decision aid, not an authoritative source of nutrition facts — always check labels and ask the restaurant when accuracy matters (e.g. allergies).
3. Eatrace Plus & subscriptions
Eatrace is free to start. Eatrace Plus is an auto-renewing subscription that unlocks premium features such as unlimited Smart Picks, full tracker history, and weekly reports. Current pricing:

Prices are in U.S. dollars and may vary by region, currency, and applicable taxes; the price shown at checkout applies. We may change prices going forward; we will give notice and any increase applies only to renewals after the notice.
4. Billing, auto-renewal & cancellation
Depending on where you subscribe, billing is handled by Apple (App Store) or Google (Google Play):
- Auto-renewal. Subscriptions automatically renew at the end of each billing period (monthly or yearly) at the then-current price, unless you cancel at least 24 hours before the period ends.
- Charge timing. Your payment method is charged at confirmation of purchase and at the start of each renewal period.
- Cancellation. Manage or cancel anytime: on iOS via Settings → your name → Subscriptions; on Android via Google Play → Subscriptions; on the web via the Manage subscription link in the app. Cancelling stops the next renewal; you keep Plus until the end of the period you already paid for.
- Apple terms. For purchases made through Apple, the transaction is also subject to Apple's standard Licensed Application End User License Agreement (EULA).
5. Free trial & refunds
We may offer a 7-day free trial of Eatrace Plus. Unless you cancel before the trial ends, it converts automatically into a paid subscription at the price above and your payment method is charged. Any unused portion of a free trial is forfeited if you buy a subscription during the trial. Refunds for App Store and Google Play purchases are handled by Apple and Google under their policies. Statutory withdrawal/refund rights, where they apply to you, are unaffected by this section.
6. Acceptable use
You agree not to:
- break the law or infringe anyone's rights while using Eatrace;
- reverse-engineer, scrape, or extract our or our providers' nutrition/menu data in bulk, or resell or redistribute it;
- probe, attack, or interfere with the app's security, or attempt to access other users' data;
- use the app to build a competing product or train a machine-learning model on our content;
- submit content that is unlawful, abusive, or that you have no right to submit; or
- misuse our AI features (for example, submitting images that are not meal photos).
7. Your content & our content
You keep ownership of the data and meal photos you submit ("Your Content"). You grant us a limited licence to process Your Content solely to operate and improve the app for you, as described in our Privacy Policy (meal photos are processed transiently and not stored). Eatrace and its software, Fit Score, branding, and design are owned by us or our licensors and are protected by intellectual-property law; we grant you a personal, non-exclusive, non-transferable, revocable licence to use the app under these Terms.
8. Health disclaimer — not medical advice
Eatrace provides nutrition information and guidance for general informational purposes only. It is NOT medical, nutritional, or healthcare advice, diagnosis, or treatment.
Calorie and macro targets are estimates based on the information you provide and standard formulas; nutrition values for dishes are estimates from third parties and may be wrong. Do not rely on Eatrace for decisions about a medical condition, allergy, eating disorder, pregnancy, or medication. Always consult a qualified physician or registered dietitian before starting any diet or weight-management program, and seek immediate help in an emergency. If you have or are at risk of a disordered relationship with food, please talk to a professional. Your use of any information from Eatrace is at your own risk.
9. Disclaimer of warranties
The app and all content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or that nutrition or restaurant data is accurate, complete, or current.
10. Limitation of liability
To the maximum extent permitted by law, Eatrace and Cleolead Corp., and our officers, employees, and suppliers, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or health outcomes, arising out of or relating to your use of (or inability to use) the app, even if advised of the possibility. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the app is limited to the greater of (a) the amount you paid us for the app in the 12 months before the claim, or (b) USD $50.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you; in that case our liability is limited to the smallest extent permitted by law. Nothing in these Terms limits liability that cannot be limited by law (such as for death or personal injury caused by our negligence, or for fraud).
11. Termination
You may stop using Eatrace and delete your account at any time from Profile → Delete account. We may suspend or terminate your access if you breach these Terms or to comply with the law. Sections that by their nature should survive termination (including 7–10 and 12) will survive.
12. Governing law & disputes
These Terms are governed by the laws of Alberta, Canada, without regard to its conflict-of-laws rules, and the courts of Alberta, Canada will have jurisdiction, except where mandatory consumer-protection law in your country of residence gives you the right to bring proceedings locally. We encourage you to contact us first to resolve any dispute informally.
13. Changes to these Terms & how to contact us
We may update these Terms as the app evolves or the law changes. When we make material changes we will update the "Last updated" date and, where appropriate, notify you in the app. Continued use after an update means you accept the revised Terms.
